Terms of Use

1. Introduction and Scope

1.1 These terms of use and licence terms (“Terms”) together with all documents referred to, govern the relationship between you and Just Pay Limited t/a JustGig (“we”, “us”, “our”, or “JustGig”) under which our general services are provided by us through our website at just-gig.co.uk (referred to as our “JustGig Software”). Please read these terms and conditions carefully before using our JustGig Software. If you do not agree to these Terms, you must not use the Software.

2. Definitions

2.1 Subscription: A recurring monthly or annual payment made by a Venue to access Artists via the JustGig Software.

2.2 Venue Profile: The information, media, and content uploaded by a Venue to their Venue Profile.

2.3 Gig Agreement: A separate contractual arrangement between a Venue and an Artist for the provision of entertainment services. JustGig is not a party to these agreements.

2.4 Fees: All charges payable by the Venue to JustGig, including subscriptions, gig booking fees, and other applicable costs.


3. Additional Applicable Terms

3.1 Your use of JustGig is also governed by the following documents:

Together, these documents form the full agreement between you and JustGig.


4. Venue Representations and Warranties

4.1 You are at least 18 years old and legally authorised to enter into this Agreement.

4.2 All information provided in your Venue Profile is accurate, current, and not misleading.

4.3 You own or have the necessary rights to use any content you upload.

4.4 You will comply with all applicable laws, including those related to taxation and employment.

4.5 You indemnify JustGig against any claims, losses, or liabilities arising from your breach of these Terms.


5. Venue Accounts and Profiles

5.1 You may register multiple venues under one account, but you are solely responsible for the accuracy, security, and management of each Venue Profile.

5.2 You must keep your login credentials confidential. We reserve the right to suspend or terminate accounts in cases of suspected fraud, misuse, or breach of these Terms.

5.3 You grant JustGig a non-exclusive, worldwide, royalty-free licence to use your Venue name, logo, images, and content for promotional, marketing, and operational purposes.


6. Fees and Payments

6.1 Fees are payable in advance and may be charged per gig, monthly, or annually, depending on your subscription plan.

6.2 All fees are non-refundable, except in cases of duplicate charges, billing errors, or where a formal dispute process has been initiated and resolved in your favour.

6.3 Subscriptions renew automatically unless cancelled in accordance with Clause 7.

6.4 We reserve the right to adjust Fees at any time, we will provide you with written notice at least 30 days prior to the change. Continued use of the Software following a change constitutes acceptance of the new Fees.

6.5 If a payment fails, you may receive a grace period (e.g., 7 days) before service suspension, during which you'll be notified of the issue and informed of any potential late fees or account reactivation charges.

6.6 You are responsible for any charges imposed by your bank or payment provider.

6.7 By subscribing, you authorise JustGig to collect recurring payments via direct debit or other selected payment methods. This authorisation remains valid until you cancel your subscription in accordance with Clause 7. You are responsible for ensuring that your payment method remains valid and funded.

6.8 All subscription and Software fees are booking fees only. Any fees due to the artist for their services are separate and must be paid directly to the artist.


7. Cancellation Policy

7.1 Subscriptions renew automatically at the end of the monthly subscription period.

7.2 Subscription cancellations can be actioned within the platform, under Subscription.

7.3 No refunds will be issued for partial months or unused subscription periods.


8. Relationship with Artists

8.1 All Gig Agreements are strictly between the Venue and the Artist.

8.2 JustGig is not a party to these agreements and bears no responsibility for cancellations, disputes, performance quality, or any other issues arising from Artist engagements.

8.3 You agree to indemnify JustGig against any claims made by Artists or third parties in connection with a Gig Agreement.


9. Taxes

9.1 You are solely responsible for complying with all applicable tax and VAT obligations.

9.2 JustGig does not provide tax advice and is not liable for your tax reporting or payments.

9.3 You agree to indemnify JustGig against any claims or penalties from tax authorities related to your use of the Software.


10. Limitation of Liability

10.1 To the fullest extent permitted by law, JustGig’s total liability to you is limited to the amount of Fees paid by you in the 12 months preceding the claim.

10.2 We are not liable for any indirect, incidental, or consequential damages, including loss of profits or reputational harm.


11. Termination

11.1 We may suspend or terminate your account immediately if you breach these Terms, fail to pay Fees, or engage in misuse.

11.2 We may also terminate this Agreement at any time by providing 30 days’ written notice.


12. Data Protection

12.1 To enable us to fulfil our services in the JustGig software, it may be necessary to collect and use personal data from you.

12.2 Further details on how we may use any such personal data can be found in our Privacy Policy. This Policy is incorporated into these Terms by reference herein.


13. Free Trials and Introductory Offers

13.1 From time to time, JustGig may offer Free Trials or Introductory Offers to new Venue users or as part of a broader commercial arrangement with a Venue’s head office or affiliated group.

13.2 Eligibility for Free Trials or Introductory Offers is determined solely by JustGig and may be subject to limitations, including:

(a) One offer per Venue or group;

(b) Geographic or account-type restrictions;

(c) Duration and scope of access.

13.3 Where a Free Trial or Introductory Offer is provided under a separate agreement with a Venue’s head office or parent company, the terms of that agreement shall prevail in the event of any conflict with these Terms.

13.4 Unless otherwise stated, Free Trials automatically convert to a paid subscription at the end of the trial period. Venues will be notified in advance and may cancel before the trial ends to avoid charges.

13.5 JustGig reserves the right to withdraw or modify any Free Trial or Introductory Offer at any time without prior notice, except where governed by a separate written agreement.


14. Force Majeure

14.1 JustGig shall not be held liable for any failure or delay in performance of its obligations under these Terms and Conditions due to events beyond its reasonable control. Such events may include, but are not limited to, natural disasters, war, terrorism, civil unrest, labour disputes, government actions, internet or telecommunications failures, cyberattacks, or other unforeseen circumstances that prevent or hinder access to the Software. In such cases, we will make reasonable efforts to resume services as soon as practicable.


15. Intellectual Property

15.1 All content, features, and functionality of the product—including but not limited to software, code, design, text, graphics, logos, and documentation—are the exclusive property of Just Pay Limited t/a JustGig and are protected by applicable intellectual property laws.

15.2 Users are granted a limited, non-transferable, non-exclusive license to use the product solely for its intended purpose, subject to these Terms and Conditions. Any unauthorized reproduction, distribution, modification, or use of the product or its components is strictly prohibited and may result in legal action.


16. Amendments to These Terms

16.1 We may update these Terms with 15 days’ notice via email or Software notification.

16.2 Continued use of the Software after the notice period constitutes acceptance of the revised Terms.

16.3 Immediate changes may be made without notice where required by law or to address urgent risks such as fraud or security threats.


17. Governing Law and Dispute Resolution

17.1 These Terms are governed by the laws of England and Wales.

17.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17.3 At our discretion, disputes may alternatively be resolved through binding arbitration.
